Counsel/Contract Manager
The Legal Counsel/Contract
Manager, will be responsible for counseling projects during acquisition and
execution phase in, predominantly, the area of fossil power generation projects.
The scope of the projects reaches from supply of power equipment up to full
turnkey solutions. As a member of the
Center of Expertise Projects for Asia and Australia within Legal, the
scope of work will involve the advise on overseas projects and therefore, includes
travelling.
What are my responsibilities?
- Advise and guide the
internal business partner on all legal aspects in project
business during both acquisition and execution phase for,
predominantly, Siemens’ Power and Gas Division (PG);
- Advise and guide the
internal business partner on all legal aspects in project
business for other Divisions as needed;
- Provide the legal input
to Siemens’ risk management process in project business (LoA);
- Review, draft and
negotiate various contractual documents (e.g. supply agreements,
consortium agreements, EPC contracts) for, mainly, PG’s business units,
other business functions (such as Procurement) and operating companies;
- Work and collaborate
across teams at the interface of M&A projects and corporate matters
(e.g. project financing, establishments of joint ventures);
- Manage the resolution
of legal disputes and external law firms;
- Conduct tailored
trainings for both the internal business partner and more
junior legal staff on relevant skills and areas of law;
- Actively manage (e.g.
via internal homepage or workspace) and contribute assets to the
internal legal knowledge management (such as templates, quick
guides, etc.);
- Monitor and provide
guidance regarding new legal developments that may impact the
business.
What do I need to qualify for this job?
- Excellent academic
background; additional overseas education from an accredited European or
American law school is a plus;
- Vast experiences in
international transactions and strong intercultural sensitivity;
- At least 4 years
relevant working experience as an in-house counsel or with a major law firm;
- In-depth knowledge of
and sufficient experience in dealing with all general commercial laws topics in project business;
- Strong analytical,
drafting and negotiation skills;
- Flexible,
solution-oriented, pro-active and self-motivated individual with good
business acumen;
- Good communication
skills and able to work effectively with team members and cross-function
partners from different cultural and professional backgrounds;
Languages
- Fluency in written
and spoken English
- Korean (is a plus)
